Welcome to COIL Health. These Terms of Service (“Terms”) govern your access to and use of our website, services, and products. By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. COIL Health, Inc. and/or its subsidiaries (collectively, “COIL Health”, “we”, or “us”) owns and operates the websites located at www.coil.health and may have previously, now or in the future own and/or operate a “COIL Health” mobile application (collectively, the “Platform”). Your access and use of the Platform, any part thereof, or anything associated therewith, including its content (“Content”), any products or services provided through the Platform or otherwise by COIL Health, and any affiliated website, software or application owned or operated by COIL Health (collectively, including the Platform and the Content, the “Service”) are governed by these Terms and Conditions (“Terms and Conditions” or “Agreement”).
PLEASE READ THIS AGREEMENT CAREFULLY AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND COMPANY. THESE TERMS THEY MAY IMPACT YOUR LEGAL RIGHTS IN THE EVENT OF A DISPUTE BETWEEN US. SPECIFICALLY, PLEASE REFER TO SECTION 19 BELOW, WHICH REQUIRES THAT CERTAIN DISPUTES BE SETTLED THROUGH MANDATORY BINDING ARBITRATION WHICH WILL PRECLUDE YOU FROM LEADING OR PARTICIPATING IN A CLASS ACTION. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT CREATE AN ACCOUNT OR USE THE SERVICE. YOU HEREBY GRANT AGENCY AUTHORITY TO ANY PARTY WHO CLICKS ON THE “I AGREE” BUTTON OR OTHERWISE INDICATES ACCEPTANCE TO THESE TERMS AND CONDITIONS ON YOUR BEHALF.
IF YOU HAVE A MEDICAL EMERGENCY, SEEK IN-PERSON EMERGENCY CARE IMMEDIATELY OR DIAL 911. THE SERVICE IS NOT APPROPRIATE FOR ALL MEDICAL CONDITIONS OR CONCERNS. THIS AGREEMENT IS SUBJECT TO CHANGE AS PROVIDED HEREIN.
Your access to and use of the Service is subject to this Agreement, as well as all applicable laws and regulations. If you do not accept and agree to be bound by this Agreement in its entirety, you are strictly prohibited from visiting, accessing, registering with and/or using the Service or any information or Content provided through the Service, except as necessary to review this Agreement. The Service is continually under development, and we reserve the right to revise or remove any part of this Agreement or the Service in our sole discretion at any time and without prior notice to you. Any changes to this Agreement are effective upon posting to the Platform. Unless otherwise indicated, any new Content added to the Service is also subject to this Agreement upon posting to the Platform. If you disagree with this Agreement or any terms or conditions herein, your sole remedy is to discontinue your use of the Service. Your continued use after a change to this Agreement has been posted constitutes your acceptance of this Agreement as modified by such changes. If you do not agree with any of these, you should not use our website or services.

Our services are available to users in the United States and are subject to state-specific telehealth regulations.
COIL Health itself does not provide any medical services, including via the Services. Rather, COIL Health provides a technology platform for you to access a health care provider who is employed or contracted with a COIL Health affiliated physician practice and obtain access to additional information, which you may or may not choose to utilize in planning your health care and wellness.
The health and wellness resources made available through our Services are for informational purposes only, and are not a substitute for direct in-person health care services in all cases; nor are they an indicator of specific results. The decision to focus on diagnosis, treatment recommendations, or both, rests with you and the health care provider. You understand that by coordinating and consulting with an affiliated physician practice or its health care providers through the Services, you are not entering into a provider-patient relationship with COIL Health.
Except for specific communications received from an affiliated physician practice or its health care providers, none of the information you receive through the Services should be considered medical advice.
2. Eligibility
You must be at least 18 years old to use COIL Health services. By using our platform, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

The Website and Services are controlled and/or operated from the United States and are not intended to subject Company to any non-U.S. jurisdiction or law. The Website and Services are directed only to residents of the United States. The Services may not be appropriate or available for use in some non-U.S. jurisdictions. Any use of the Services is at your own risk, and you must comply with all applicable laws, rules, and regulations in doing so. We may limit the availability of the Services at any time, in whole or in part, to any person, geographic area, or jurisdiction that we choose.
4. Telehealth Consultations
By using our telehealth services, you acknowledge and consent to:
Telehealth involves the delivery of health and mental health care services using electronic communications, information technology or other means between a healthcare provider or mental health professional and a patient who is not in the same physical location. While the provision of health and mental health care services using telehealth may offer certain potential benefits, there are also potential risks associated with the use of telehealth. Telehealth services are not a substitute for in-person care in all cases.
In order to use the Service, you will be required to review and agree to an informed consent regarding the use of telehealth (the “Patient Consent”) that will be provided to you via the Service. You agree that COIL Health is a third-party beneficiary of the Patient Consent and has the right to enforce it against you.
By accepting the Terms of Use, you agree and consent to COIL Health, the affiliated physician practices, the health care providers contracted or employed by the affiliated physician practices, and any other health care organization(s) or provider(s) with whom we partner to provide the Services to you sending you disclosures, notices, messages, reports, and other communications either in writing or electronically including without limitation through your account or by email. It is your responsibility to monitor these communications. You acknowledge and agree that you will not hold us, any affiliated physician practice, any health care provider contracted or employed by an affiliated physician practice, or any healthcare organization(s) or provider(s) with whom we partner to offer the Services to you liable for any loss, injury, or claim of any kind resulting from your failure to read these communications or for your failure to comply with any treatment recommendations contained in these communications.
Moreover, you acknowledge and agree that no means of electronic transmission can be guaranteed to be 100% secure. By accessing or using the Services, you agree to us transmitting health and other information to you electronically and that any information sent to or signed by you or us electronically shall be deemed equivalent to as if such information was provided or signed in writing.
Please see our Consent to Telehealth available at coil.health/telehealth for additional information about the risks and benefits of telehealth. The Consent to Telehealth is hereby incorporated into these Terms of Use by reference and constitutes a part of these Terms of Use.
5. Prescription Services
Prescriptions are issued at the discretion of our licensed providers, based on your health information and consultation. We do not guarantee that a prescription will be provided. All prescriptions are fulfilled by licensed pharmacies in accordance with applicable laws. You will not be able to obtain a prescription product unless you have completed a consultation with one of the Providers, the Provider has determined the prescription product is appropriate for you and the Provider has written a prescription.
Certain products and services available for purchase through the Service require that you purchase the product and/or service on an automatically renewing subscription basis. For subscription-based products and services, your payment device will be automatically charged at regular intervals as described for that product or service during the checkout process until you cancel your subscription. Your first renewal may be charged early to prevent any discontinuity in treatment. Your subsequent shipments may be charged and shipped up to two (2) days early to accommodate holidays or for other operational reasons to support continuity of treatment. We and/or the Providers may, but are not required to, perform outreach to you from time to time via the Service to request updates to your information and to facilitate ongoing subscriptions. Your subscription will automatically renew for another subscription period unless you cancel at least two (2) days before the applicable renewal processing date of your subscription. We may also offer you the ability to pause your subscription for a specified period of time. If you do not cancel before the end of the pause period, charging to your payment device will resume automatically. We may change our subscription plans and prices from time to time; however, we will provide you advance notice of any price changes or changes to your subscription plans.
If you complete a consultation with a Provider and fill a prescription through one of the Pharmacies, the prescription product is shipped to you by the applicable Pharmacy and the costs associated with the prescription are included in the total charged to you by the Service as described in the “Subscription Products” section above.
In order to simplify the user experience through the Service, you will only see and be required to pay a single “total” subscription price. If a subscription product you purchase required a consultation with a Provider, includes a prescription product that you fill through one of the Pharmacies and/or includes mental health services, then the total price you pay includes the amounts charged for use of the Service, as well as amounts charged by the Pharmacy for the prescription drug and the amount charged by the Medical Group for the services of the Provider, as applicable, which amounts are collected on behalf of and paid to the Pharmacies and Medical Groups, respectively.
6. Payment and Billing
You agree to pay all fees associated with your use of COIL Health services on a cash-pay basis outside of any commercial health insurance plan or federal or state health care program. Thus, you are solely responsible for the costs of any services or products provided to you. COIL Health and the affiliated physician practices do not accept commercial health insurance plans, are not in-network with any commercial health insurance plans and are not enrolled with federal or state health care programs, such as Medicare and Medicaid.
Payments are processed through secure third-party payment processors. Prices and fees are subject to change, and we will notify you of any changes in advance.
If you wish to make a transaction for Services or Products, you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing address, and your shipping information. You represent and warrant that you have the right to use any credit card or other payment information that you submit in connection with a transaction. By submitting such information, you hereby authorize the Company to charge you and grant to us the right to provide such information to third parties for purposes of facilitating transactions, including through Stripe, Inc. (“Stripe”), Company’s third-party payment processing service. Verification of information may be required prior to the acknowledgment or completion of any transaction. If your payment method fails or fees associated with your User Account are past due, we may retry charging your payment method until it is successful, charge another payment method on file (including with Stripe), retain collection agencies and legal counsel, and/or terminate your membership in our Subscription Program. We reserve the right to change the types of transactions for which we charge, and we reserve the right to charge for consultations with your COIL Health-affiliated healthcare provider. You agree to pay all charges incurred by you or on your behalf through the Website, at the prices in effect when such charges are incurred, including all shipping and handling charges. In addition, you are responsible for any taxes applicable to your transactions. Products will be shipped to an address designated by you so long as such address is complete and complies with the shipping restrictions contained on the Website. The risk of loss and title for Products purchased by you pass to you upon our delivery of the items to the carrier.
You are responsible for providing and promptly updating all information to keep your billing and shipping information current, complete, and accurate (e.g., change in billing address, card number, card expiration date, and telephone number). You must promptly notify us if your credit card information is canceled or is no longer valid (e.g., loss or theft). Changes to such information can be made in the payment information section of your User Account.
7. Refunds and Cancellations
Due to the nature of our prescription based products, refunds are not offered. Once a shipment for the Subscription Program has been billed and processed, it cannot be canceled. You may cancel a subscription at any time by contacting the Customer Help Center and directly requesting a cancellation or through your online account. Cancellation will take effect at the end of the current subscription period
8. Privacy and Data Security
We are committed to protecting your privacy. Our practices are outlined in our Privacy Policy, which explains how we collect, use, and safeguard your personal information.
9. Intellectual Property
All content on the COIL Health platform, including text, graphics, logos, and software, is the property of COIL Health or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our prior written permission.

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COIL HEALTH AND ITS AFFILIATES, INCLUDING WITHOUT LIMITATION ALL AFFILIATED PHYSICIAN PRACTICES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, PARTNERS, MEMBERS, EMPLOYEES, AND AGENTS (COLLECTIVELY "RELATED PERSONS") MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES INCLUDING, BUT NOT LIMITED TO, ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, NONINFRINGEMENT, TITLE, AVAILABILITY, SECURITY, OPERABILITY, CONDITION, QUIET ENJOYMENT, VALUE, ACCURACY OF DATA, FREEDOM FROM VIRUSES OR MALWARE, COMPLETENESS, TIMELINESS, FUNCTIONALITY, RELIABILITY, SEQUENCING OR SPEED OF DELIVERY OR SYSTEM INTEGRATION. WE MAKE NO WARRANTIES OR REPRESENTATIONS THAT YOUR USE OF THE SERVICES WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES.
TO THE FULLEST EXTENT OF APPLICABLE LAW, NEITHER COIL HEALTH NOR ITS RELATED PERSONS WILL BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH THE SERVICES. IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY OR USEFULNESS OF THE SERVICES, SERVICES CONTENT, AND USER CONTENT. FURTHERMORE, COIL HEALTH DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, OR FREE FROM ERROR, DEFECT, LOSS, DELAY IN OPERATION, CORRUPTION, CYBER ATTACK, VIRUSES, INTERFERENCE, HACKING, MALWARE, OR OTHER SECURITY INTRUSION, AND RO DISCLAIMS ANY LIABILITY RELATING THERETO.
YOU UNDERSTAND AND AGREE THAT ANY CONTENT, MATERIAL AND/OR INFORMATION OBTAINED THROUGH THE USE OF THE SERVICES ARE USED AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR MOBILE PHONE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH CONTENT, MATERIAL AND/OR INFORMATION, OR YOUR RELIANCE ON ANY SUCH CONTENT, MATERIAL, AND/OR INFORMATION.
ALL DISCLAIMERS OF ANY KIND (INCLUDING IN THIS SECTION AND ELSEWHERE IN THIS AGREEMENT) ARE MADE FOR THE BENEFIT OF THE COMPANY, COMPANY’S CONTRACTED HEALTHCARE ENTITIES, AND EACH OF THEIR RESPECTIVE AFFILIATES AND RESPECTIVE SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, REPRESENTATIVES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “AFFILIATED ENTITIES”), AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.
12. Limitation of Liability
To the fullest extent permitted by law, COIL Health shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services including: (1) LOSS OF REVENUE, INCOME, PROFITS, (2) LOSS OF USE OR DATA, (3) LOSS OR DIMINUTION IN VALUE OF ASSETS OR SECURITIES, (4) DAMAGES FOR BUSINESS INTERRUPTIONS, OR (5) LOSS OF GOODWILL OR OTHER INTANGIBLES, EVEN IF, IN EACH CASE, COMPANY HAS BEEN ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE WEBSITE, SERVICES, PRODUCTS, OR ANY THIRD-PARTY MATERIALS IS TO STOP USING THE WEBSITE, SERVICES, OR PRODUCTS, AS APPLICABLE.
THE MAXIMUM AGGREGATE LIABILITY OF COMPANY FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE THE GREATER OF (1) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO COMPANY IN THE SIX (6) MONTHS PRIOR TO THE ACCRUAL OF THE CLAIM OR (2) ONE HUNDRED U.S. DOLLARS ($100). IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE WEBSITE, SERVICES, PRODUCTS, OR THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE WEBSITE, SERVICES, AND PRODUCTS. ALL LIMITATIONS OF LIABILITY OF ANY KIND (INCLUDING IN THIS SECTION AND ELSEWHERE IN THIS AGREEMENT) ARE MADE FOR THE BENEFIT OF BOTH COMPANY AND THE AFFILIATED ENTITIES, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.
ANY CLAIMS ARISING IN CONNECTION WITH YOUR USE OF THE SERVICE OR CONTENT MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. TO THE EXTENT THAT WE MAY NOT DISCLAIM ANY IMPLIED WARRANTY OR LIMIT ITS LIABILITIES, THE SCOPE AND DURATION OF SUCH WARRANTY AND THE EXTENT OF OUR LIABILITY WILL BE THE MINIMUM PERMITTED UNDER APPLICABLE LAW.
13. Indemnification
You agree to indemnify and hold harmless COIL Health and its affiliates from any claims, damages, or expenses arising from your use of the platform or violation of these Terms. We reserve the right to control the defense of any claim by a third party for which we are entitled to indemnification, and you agree to provide us with such cooperation as is reasonably requested by us.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes, and your continued use of the platform constitutes acceptance of the updated Terms. This Agreement is effective until terminated. You may deactivate your User Account at any time, for any reason, by sending an email to hello@coil.health. Company may terminate, discontinue, cancel, suspend, change, or limit your use of the Website or Services at any time and without prior notice, for any or no reason, including, for example, if Company believes that you have violated or acted inconsistently with the letter or spirit of this Agreement or if any amounts due by you to Company are past due. Upon any such termination or suspension, (a) your right to use the Website and Services will immediately cease, and (b) Company may, without liability to you or any third party, immediately deactivate or delete your user name, password, and User Account, and all associated materials, without any obligation to provide any further access to such materials, except to the extent Company or an Affiliated Entity is obligated to provide you access to your health records or is required to provide you with continuing care under applicable legal, ethical, and professional obligations. Your medical records will be retained by Company for a period of at least ten (10) years, unless a longer period is required by state or federal law, after which they may be destroyed. If you are younger than twenty-three (23) years of age on the date the records may potentially be destroyed, your records will be kept at least until you reach the age of 23, or as required by state or federal law. You agree that if Company terminates your use of Services due to your violation of this Agreement, you will not attempt to use the Services in any way and that if you violate this restriction after such termination, you will indemnify and hold Company harmless from any and all liability that Company may incur therefore. You further agree that Company will not be liable to you or to any third party for any modification, suspension, or termination of your ability to use the Website, Services, and/or Products. If you are dissatisfied with any aspect of the Website, Services, and/or Products at any time, your sole and exclusive remedy is to cease participating in the Website, Services, and Products. Termination will not prejudice either you or our remedies at law or in equity.
16. Miscellaneous Terms
No waiver. No waiver by COIL Health of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by COIL Health to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
No agency relationship. Neither these Terms of Use, nor any Services Content, materials or features of the Services create any partnership, joint venture, employment, or other agency relationship between us and you. You may not enter into any contract on our behalf or bind us in any way.
Remedies. You agree that any violation, or threatened violation, by you of these Terms of Use constitutes an unlawful and unfair business practice that will cause us irreparable and unquantifiable harm. You also agree that monetary damages would be inadequate for such harm and consent to our obtaining any injunctive or equitable relief that we deem necessary or appropriate. These remedies are in addition to any other remedies we may have at law or in equity.
Assignment. You may not assign any of your rights under these Terms of Use, and any such attempt will be null and void. COIL Health and its affiliates may, in their individual discretion, transfer, without further consent or notification, all contractual rights and obligations pursuant to these Terms of Use if some or all of the business of COIL Health is transferred to another entity by way of merger, sale of its assets, or otherwise.
Notice for California Users. If you are a California resident, you hereby waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." This release includes the criminal acts of others.
Headings. The heading references herein are for convenience purposes only, and shall not be deemed to limit or affect any of the provisions hereof.
Entire Agreement. This is the entire agreement between you and COIL Health relating to the subject matter herein and supersedes all previous communications, representations, understandings and agreements, either oral or written, between the parties with respect to said subject matter, excluding any other agreements that you may have entered into with COIL Health.
